Terms of Service

These Terms form an agreement between you and Pyxage Ltd, a company registered in England and Wales under company number 11232293, for your use of Planivora. Our registered address is 3 Daylesford, 494 Littlemoor Road, Weymouth, Dorset, DT3 5NY, United Kingdom.

By creating an account or using Planivora, you agree to these Terms and our Privacy Policy. You must be at least 16 years old and legally able to enter this agreement. If you do not agree, do not use the service.

Planivora is a personal planning service that connects with Google Calendar, helps you organise tasks and routines, proposes time blocks, tracks focused work, sends optional notifications, and can provide optional AI explanations of scheduling proposals.

The scheduling engine applies the constraints and rules available to it. A proposal is an aid, not a guarantee that work can be completed, deadlines will be met, or your calendar is conflict-free. You are responsible for reviewing your plan and deciding how to act on it.

Provide accurate information, keep your credentials confidential, and promptly notify us of suspected unauthorised access. You are responsible for activity carried out through your account unless caused by our breach.

Planivora currently supports one person per account. You may not share credentials, impersonate another person, create accounts by automated means without permission, or interfere with another user’s account.

You decide which Google calendars Planivora may read for availability and which calendar you own may receive Planivora-managed blocks. Depending on the movement policy you configure, changes may require your approval or may be applied automatically within those rules.

You authorise Planivora to access and modify Google Calendar data only to provide the features you enable. You remain responsible for reviewing calendar changes, invitations, reminders, time zones, and third-party commitments. You can disconnect Google Calendar at any time, but events already written to Google may remain until you remove them.

Google Calendar is a third-party service governed by Google’s terms. We are not responsible for Google’s availability, account decisions, API changes, or independently controlled data.

You must not:

• use Planivora unlawfully, fraudulently, or to infringe another person’s rights;
• upload malicious code or content you do not have the right to use;
• probe, bypass, or disrupt security, access controls, quotas, or service infrastructure;
• scrape, reverse engineer, or access the service through unauthorised automated means, except where applicable law expressly permits it;
• resell or provide the service to others without our written permission; or
• use Planivora for emergency, safety-critical, medical, legal, financial, or other high-risk decision-making.

Abuse of Planivora, including the prohibited conduct above, will result in account termination under the suspension and termination provisions below. We may investigate suspected misuse and limit or suspend access where reasonably necessary to protect users, third parties, or the service.

AI explanations are optional and describe a schedule produced by Planivora’s deterministic engine. Pilot provides optional product guidance from help documentation and, with your confirmation, selected task information. Pilot cannot perform account or calendar actions. AI output may be inaccurate, incomplete, or misleading and is not professional advice. The scheduling reasons and changes displayed by the core service remain authoritative.

You must review AI output before relying on it. Do not submit sensitive personal information in task titles or notes merely for an AI explanation. Availability, model choice, usage limits, and functionality may change.

You retain your rights in the tasks, notes, calendar information, and other content you provide. You grant Pyxage a limited, non-exclusive licence to host, process, reproduce, and transmit that content only as needed to operate, secure, and improve Planivora and comply with law.

Planivora, including its software, design, branding, documentation, and underlying technology, is owned by or licensed to Pyxage and protected by intellectual-property laws. These Terms give you a limited, personal, revocable, non-transferable right to use the service; they do not transfer ownership.

Feedback may be used without restriction or payment, provided we do not publicly identify you as its source without permission.

We aim to provide a reliable service, but Planivora may be interrupted, delayed, changed, or discontinued. We may add or remove features, impose reasonable limits, or perform maintenance. Where practical, we will give notice of a material discontinuation.

Some features depend on third parties, internet access, browser capabilities, and properly configured integrations. We do not promise uninterrupted or error-free operation.

Planivora offers one plan with monthly or yearly billing, including applicable tax. UK pricing is £11.99 GBP per month or £131.89 GBP per year. US pricing is $14.99 USD per month or $164.89 USD per year. Yearly billing provides 12 months for the price of 11 monthly payments, charged as one yearly payment. Subscriptions renew at the agreed currency and frequency until you cancel. Changing your language does not change an existing subscription. Your payment provider may apply currency-conversion charges if your payment account uses another currency.

New accounts receive 14 days of full access from account creation without a payment card. There is no automatic charge when the trial ends. If you subscribe early, your remaining free time is preserved. After free or paid access expires, your account becomes read-only and automated scheduling pauses. A failed renewal has no payment-failure grace period. Existing Google events remain in Google.

VIP accounts have full access free of charge with no expiry. We will not convert a free account into a paid subscription without your affirmative agreement. Temporary complimentary access has the expiry shown in your account.

You can stop future renewal through Billing → Manage billing. A scheduled cancellation keeps access through the paid period. You can also contact contact@hq.pyxage.com about cancellation, refunds or billing problems. Account deletion starts a recoverable process to stop recurring billing and remove product data. These arrangements do not limit your statutory cancellation or refund rights.

You may stop using Planivora, disconnect Google Calendar, export your data, or delete your account through Settings or Account privacy and security. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay an agreed fee, or if we discontinue the service.

Abuse of the service will result in termination of your account. For customers with an active paid subscription, we will stop future renewal and schedule account termination and deletion for the end of the current billing period recorded by Stripe. We use Stripe’s current period end to determine that date, rather than starting a new notice period. Any remaining paid access period will be respected, subject to the protective suspension rights below.

Accounts without an active paid subscription, including accounts using the free trial, may be terminated and deleted immediately without waiting for the trial to end. This does not shorten any remaining period of access already paid for.

We may restrict or suspend access immediately where reasonably necessary to stop abuse or protect users, third parties, or the service, even if account deletion is scheduled for a later date. Data deletion remains subject to the retention obligations described in our Privacy Policy. Nothing in this section limits your statutory cancellation, refund, or other consumer rights.

Where appropriate, we will give notice and an opportunity to remedy the issue. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and dispute terms—will survive.

Planivora is provided “as is” and “as available.” To the fullest extent permitted by law, we exclude implied warranties, including fitness for a particular purpose and non-infringement. Nothing in these Terms affects mandatory consumer rights.

To the fullest extent permitted by law, Pyxage is not liable for indirect or consequential loss, loss of profits, business, opportunity, goodwill, or data, or for loss caused by your failure to review a schedule or calendar change. Our total liability arising from Planivora in any 12-month period is limited to the greater of £100 and the amount you paid for Planivora during that period.

Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded.

These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer may retain the benefit of mandatory protections and bring proceedings in the courts available under the law of their home country.

Please contact contact@hq.pyxage.com first so we can try to resolve a concern informally. These Terms do not restrict your right to use an applicable consumer-protection or dispute-resolution process.

We may update these Terms to reflect changes to Planivora, law, security, or our business. We will post the new effective date and give appropriate notice of material changes. If you do not agree to revised Terms, you should stop using the service and delete your account.

If a provision is unenforceable, the remaining provisions continue. Our failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a merger, reorganisation, or sale of the service. These Terms and any expressly incorporated notices form the entire agreement about Planivora.
